1. Introduction

Welcome to CareerDraft!

These Terms of Service (the "Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Jacob Brown trading as CareerDraft (ABN 79332523847), its affiliates, and subsidiaries (collectively, “we,” “us,” or “our”). These Terms govern your access to and use of our web application, CareerDraft (careerdraft.app), and all related sub-domains, services and features (collectively, the “Service”).

By accessing or using the Service, you agree that you have read, understood, and accept all of these Terms.

If you do not agree with all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.

2. Definitions

Age Requirement: To use the Service, you must be at least 13 years old.

Parental Consent: If you are between 13 and the age of legal majority in your jurisdiction, your parent or legal guardian must read and agree to these Terms on your behalf.

User Representations: By using the Service, you represent and warrant that:

Account Responsibility: You are required to register an account to use the Service. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use or security breach.

3. Our Service and AI Use

The Service provides both manual and AI-powered tools. By using the Service, you acknowledge and agree to the following:

AI Limitations: You understand that the Service’s AI components use evolving technology and may occasionally produce inaccurate, incomplete, or incorrect output. This includes not only generated text but also any data manipulation performed by the AI, which may result in unintended consequences such as duplicating entries, overwriting saved data, or fetching incorrect information. It is your sole responsibility to review and verify any and all results from these features.

Charges:

Service Availability: We will use commercially reasonable efforts to ensure the Service is available. However, we do not guarantee uninterrupted access and may experience downtime for maintenance, updates, or unforeseen circumstances.

Functionality: You can still access and use the Core Features of the Service even if you have no Charges remaining. AI Quick Actions will be unavailable until your Charges are refreshed or you purchase more.

You may not access or use the Service for any purpose other than that for which we make it available. You agree not to:

5. Account Termination & Suspension

We reserve the right, in our sole discretion and without notice, to suspend or terminate your account and refuse any and all current or future use of the Service for any reason, including but not limited to, a breach of these Terms.

6. Intellectual Property & User Content

Our Rights: We own all rights, title, and interest in and to the Service, including all source code, databases, functionality, software, designs, trademarks, and branding (the "Content" and "Marks").

Your Content: By uploading, submitting, or creating content on the Service (“User Content”), you grant us a worldwide, royalty-free, and non-exclusive license to use, reproduce, adapt, and distribute your User Content solely for the purpose of operating and improving the Service. This license does not grant us ownership of your User Content.

Your Responsibility: You are solely responsible for your User Content and for any consequences that arise from posting it. You warrant that you have all necessary rights to your User Content and that it does not infringe on the intellectual property or other rights of any third party.

7. Payments, Pricing & Promotions

Payments: Payments are processed through a third-party payment provider, Stripe. We are not responsible for any issues with Stripe’s service.

Pricing: All prices are listed in Australian Dollars (AUD). Payments in other currencies may be available through Stripe. Non-payment may result in service suspension.

Promotions: Promotional content or discounts may be offered from time to time. Promotions are subject to c hange and are not guaranteed to be available.

8. Refunds & Cancellations

Cancellations: You can cancel your subscription at any time via the Service’s or Stripe’s management interface. Your access will continue until the end of the current billing cycle.

No Refunds: To the extent permitted by applicable law, all payments are non-refundable. You will not receive any refunds if you cancel your subscription or if your account is suspended or terminated for a violation of these Terms.

Account Closure: Upon cancellation or termination, all remaining Charges (both Base and Purchased) will be lost, and your data may be removed from our systems.

9. Third-Party Services

Some parts of the Service rely on third-party providers for core functionality.

Integrated Services: We use services like AWS Cognito for authentication and Stripe for payments. These services are integrated into the platform to provide a seamless user experience.

No Endorsement: Links to external websites or content are provided for convenience. We do not endorse or take responsibility for any third-party content, products, or services.

No Liability: We are not liable for any failures, downtime, or issues caused by these third-party services. You access them at your own risk and are subject to their respective terms and policies.

10. Privacy & Data

Your use of the Service is also governed by our Privacy Policy, available at Privacy Policy. By using the Service, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy, which is designed to align with the principles of GDPR (EU), Australian data privacy laws, and US standards.

Child Data Protections: We do not knowingly collect personal information from children under 13 years of age. If we become aware that we have collected data from a child under the legal age, we will delete that information as quickly as is reasonably practical. Parents or guardians may contact us to request the deletion of their child’s data.

11. DISCLAIMER OF WARRANTY

"AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT REPRESENT OR WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE FROM ERROR.

12. LIMITATION OF LIABILITY

SUBJECT TO APPLICABLE LAW, YOU EXPRESSLY UNDERSTAND AND AGREE THAT WE, OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, OR OTHERWISE) SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US FOR THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

You agree to hold harmless and indemnify us, and our subsidiaries, affiliates, officers, agents, and employees, from and against any third-party claim, liability, loss, damage, or expense (including reasonable attorneys’ fees) arising from or in any way related to:

14. Governing Law & Dispute Resolution

Governing Law: These Terms are governed by and construed in accordance with the laws of Western Australia, Australia, without regard to its conflict of law principles.

Dispute Resolution: Any dispute or controversy arising out of, in relation to, or in connection with these Terms shall be finally settled by binding arbitration in Perth, Western Australia.

No Class Actions: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Miscellaneous

Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and us regarding your use of the Service.

Severability: If any part of these Terms is found to be invalid or unenforceable, that part will be deemed severed and will not affect the validity and enforceability of the remaining provisions.

Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Changes: We reserve the right, in our sole discretion, to modify or revise these Terms at any time. We will notify you of any material changes by posting the new Terms on the Service and updating the "Last updated" date at the top of these Terms. In some cases, we may also notify you via email or other direct communication. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
